Business Advisory Services

The challenge of privately held high growth companies is to be able to navigate effectively around the myriad of regulatory hurdles and business challenges that affect their businesses. We work closely with and provide senior management with timely practical legal and business advice on the legal implications of their business and operational decisions. We identify the company's challenges and opportunities, and use a common sense approach to crafting creative legal and business solutions that support the business objectives and safeguard their business goals and objectives.

Business Agreements
Business Agreements

Business agreements (i.e., contracts) provide the structure for the exchange of goods and services for money. It is the basis for all commercially related transactions. Contracts are agreements enforceable in a court of law. Contract terms generally describe the parties, their relationships, their respective rights, duties and obligations, and how any disputes or disagreements between them are to be resolved. The language used in contracts is very important. Ambiguities can cause misunderstandings resulting in disputes and lawsuits. Disputes affect productivity, loss of time, money and goodwill. We take care to avoid ambiguities and to prepare legally binding, enforceable and fully compliant solutions in plain English. We structure, draft, negotiate and review all types of contracts, including partnership agreements, shareholders agreements, purchase and sales agreements, licensing, joint ventures, distribution agreements, employment agreements, non-competition agreements, marketing, employment agreements, real estate purchase and sales, and leasing agreements.

When starting a new business or entering into a new business venture, it is important to have the proper business structure in place. The structure helps to determine how the business will be run and how it will grow. What business structure works best for your business depends on what you are trying to do, how you want to do it, and who you are doing it with. Some questions you should ask yourself when deciding include: whether you want to retain management and control of the business; whether you are seeking funds from outside investors or from the banks; and whether there are any tax or personal asset protection issues that need to be addressed. Common business structures include sole proprietorships, partnerships, corporations, limited liability companies ("LLC"), and trusts.

General Corporate Counsel
General Corporate Counsel

Many startups and privately held emerging growth companies frequently cannot justify employing full-time in-house counsel to handle their day-to-day recurring corporate legal matters even though they may have an ongoing need for this type of support. We provide the client with a virtual in-house corporate counsel (generally from our downtown Oakland offices) at a fraction of the cost of employing a full-time corporate counsel. Services include: structuring, negotiating, drafting, and review of contracts and other agreements; intellectual property issues and trade secrets; corporate compliance; employer-employee issues; board of directors and shareholders meetings, minutes and resolutions; managing outside litigation and liaising with outside patent counsel.

Businesses, large and small, are discovering the importance of having a presence in the global marketplace order to maintain their competitiveness. Whether its having a lower cost provider of support services, cheaper manufacturing or production costs, or new markets for your goods and services, these decisions can affect your company's profitability. We assist U.S. based companies and investors understand and navigate the issues unique to cross-border trade and investments in China, including identifying and evaluating investment opportunities in China, market analysis, risk evaluations, and due diligence reviews. We provide the same services to Chinese companies and investors seeking to establish a business presence in the United States through direct investments, strategic alliances, distribution and other types of business relationships, establishing a representative office, and other types of investment activities. We also handle business related visa issues, including the EB5 foreign investor immigration visa.
